Terms of Service

By accessing or using Prompt Carrot ("the Service", "Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting, and your continued use of the Service constitutes acceptance of the modified terms. We will notify users of material changes via email or platform notifications.

Prompt Carrot provides an AI prompt management platform that enables individuals and teams to organize, share, collaborate on, and discover prompts for AI language models. Our services include:

• Personal and team workspace management
• Prompt creation, storage, and organization via collections
• Optional image and video uploads for prompts, subject to plan storage limits and fair-use protections
• Collaboration tools including sharing, commenting, and version control
• Search and discovery features for public and shared prompts
• Analytics and usage tracking for workspace administrators
• Integration capabilities with AI platforms and third-party services

We continuously improve the Platform and may add, modify, or remove features at our discretion. We are not responsible for service interruptions during maintenance or upgrades.

To use Prompt Carrot, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must be at least 16 years old to use the Service.
• You must provide a valid email address and authenticate your account.
• One person or legal entity may not maintain multiple accounts to circumvent pricing or usage limits.
• You may not share account credentials with others or use another user's account without permission.
• You must notify us immediately of any unauthorized access or security breaches.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion, particularly for violations of these Terms.

Prompt Carrot offers paid subscription plans (Sprout, Garden, and Harvest). Plans provide different storage and collaboration capabilities. By subscribing, you agree to the following:

• Billing Cycles: Subscriptions are billed monthly or annually in advance. You authorize us to charge your payment method automatically at the start of each billing cycle.
• Price Changes: We may adjust subscription prices with at least 30 days' notice. Changes apply to renewal periods after the notice period.
• Upgrades: Plan upgrades take effect immediately. Billing is prorated for the remaining period.
• Downgrades: Plan downgrades are scheduled for the end of the current billing cycle. You continue to enjoy all current plan features until the scheduled date.
• No Refunds: No refunds are issued for unused portions of a billing period, whether due to downgrade or cancellation.
• Scheduled Changes: You may cancel a scheduled downgrade at any time before it takes effect. Canceling restores your current plan with no changes.
• Team Seat Access: When downgrading to a plan with fewer team seats, members beyond the new plan's seat limit may lose access when the downgrade takes effect. The most recently invited members are affected first (last in, first out).
• Content Preservation: Your projects, collections, and prompts are never deleted due to a downgrade. However, creation of new resources may be limited by the new plan's quotas.
• Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period.
• Free Trials: Free trial periods may be offered at our discretion for promotional purposes. Terms and eligibility will be clearly communicated if trials become available.
• Payment Processing: Payments are processed by Polar.sh. We do not store full payment card details on our servers. All payment data is handled securely by Polar.sh.
• Failed Payments: If payment fails, we will attempt to collect again. Continued failure may result in service suspension or account termination.
• Fair Use Storage: Excessive or abusive storage and bandwidth usage may be limited to protect platform reliability for all customers.
• Media Upload Responsibility: You are responsible for all uploaded media and must have the rights to upload, store, and share that content.

All fees are in U.S. Dollars unless otherwise stated. Taxes are calculated based on your billing address and added to invoices where applicable.

You agree to use Prompt Carrot responsibly and in compliance with applicable laws. You may not use the Service to:

• Violate any laws, regulations, or third-party rights.
• Upload, share, or distribute malicious code, viruses, or harmful software.
• Harass, abuse, threaten, or impersonate other users or entities.
• Share content that is illegal, defamatory, obscene, hateful, or violates intellectual property rights.
• Attempt to gain unauthorized access to our systems, networks, or user accounts.
• Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission.
• Interfere with or disrupt the integrity or performance of the Platform.
• Use the Service to train competing AI models or products without authorization.
• Resell, sublicense, or redistribute the Service or its content to third parties.

Violations of this policy may result in immediate suspension or termination of your account without notice or refund.

Your Content: You retain ownership of all prompts, annotations, files, and other content you create or upload to Prompt Carrot ("User Content"). By submitting User Content, you grant us a limited, worldwide, non-exclusive license to host, store, display, and transmit your content solely to provide and improve the Service.

Public Content: If you choose to make prompts or collections public, you grant other users the right to view, copy, and use those materials in accordance with the visibility settings you selected. You represent that you have the right to share such content publicly.

Platform Intellectual Property: Prompt Carrot's software, design, branding, features, and documentation are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works from our Platform without prior written consent.

Feedback: If you provide suggestions, ideas, or feedback about the Service, we may use that feedback without any obligation to you.

We implement industry-standard security measures to protect your data, including encryption, access controls, and monitoring. However, no system is completely secure. You acknowledge that data transmission over the internet carries inherent risks.

While we perform regular backups of platform data, you are responsible for maintaining your own backup copies of critical content. We are not liable for data loss caused by user error, account termination, or system failures.

Prompt Carrot may integrate with third-party services and APIs. Your use of these integrations is subject to the third party's terms and privacy policies. We are not responsible for the availability, security, or accuracy of third-party services.

If you connect third-party accounts (e.g., Google, GitHub, AI platforms), you authorize us to access and use data from those accounts as necessary to provide integration features.

You may terminate your account at any time by accessing account settings or contacting support. Upon termination:

• Your access to paid features will cease immediately.
• Your content will be deleted within 30 days unless retention is required by law.
• You will not receive refunds for any unused portion of paid subscriptions.
• Workspace administrators may export content before deletion using available export tools.

We may suspend or terminate your account immediately if we believe you have violated these Terms, engaged in fraudulent activity, or posed a security risk. We will provide notice when feasible, but immediate action may be necessary in severe cases.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or meet your specific requirements. We are not responsible for the accuracy, reliability, or legality of User Content or third-party integrations.

Use of AI-generated content and prompts is at your own risk. We do not warrant the outputs of AI models or their suitability for any particular use case.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPT CARROT, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Prompt Carrot and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms of Service.
• Your violation of any law or third-party rights.
• Your User Content or use of the Service.
• Unauthorized access to your account due to your failure to protect credentials.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

These Terms shall be governed by and construed in accordance with applicable international commerce laws and regulations. Any disputes arising from these Terms or the Service shall be resolved through good faith negotiation between the parties.

If a dispute cannot be resolved through negotiation, you agree to attempt mediation before pursuing litigation or other formal proceedings.

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, pandemics, government actions, or internet service provider failures.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

These Terms of Service, together with our Privacy Policy and any supplemental policies or agreements, constitute the entire agreement between you and Prompt Carrot regarding the Service. They supersede all prior agreements, communications, and proposals (oral or written) between you and us.
